Description, quantity, unit price, total amount and other details of the goods ordered please refer to detail order, invoice and packing list. The name of the issuing company of invoice must be the same as the seller.
采购品名、规格、数量、单价、总价、交期等参考每次采购相应订单、发票及装运单，发票的填开单位必须与本合同中卖方的名称相一致。
The seller shall deliver the goods to the warehouse as previously agreed between the two parties.卖方应把货物送交至双方事先约定的仓库购销合同中英文模板购销合同中英文模板。
3. QUALITY INSPECTIN 质量检验
The quality of all the garments shall answer for the updated, valid Standard of the Nation and the industry. In case the garments are unqualified or for other reason that shall ascribe the seller’s fault, which brings losses of or damages (including but not limited to fine, expropriate, damage to Goodwill, lawyer’s fee and other losses for the buyer ’s breach of law or contract because of the seller fault) to the buyer, the buyer shall has the right to ask seller for damages.
所有手套质量应符合最新、有效的国家标准、行业标准的规定，若卖方交付的手套质量不合格或其他任何可归咎于卖方的责任导致买方遭受的任何损失(包括但不限于罚没款、扣款、商誉损失、律师费及其他因卖方原因导致买方违约、违法所遭受的损失)，买方有权要求卖方承担。
Seller shall provide 7 original copies of "Approved" Quality Inspection Certificate for each leather used to produce 7 days before the delivery date. The certificate must be issued by a Chinese official quality testing department, the samples that the seller send to quality test lab shall be representative, can represent the quality of the goods, and the test must follow the Basic Standard and include the composition of the fabric. The buyer will settle the payment according to the contract after received the test report and other related documentations (Packing list, Invoice of Goods etc.).
卖方应于交货日 七 日前向买方提供由中国官方质检部门认可的质检机构出具的所有用来制作。手套的面料的合格质检报告原件 7 份，卖方向质检机构送检的样品应具有代表性，能够代表大货质量，质检报告应包含国家标准的安全技术要求事项。买方在收到质检报告、装箱单、货物发票等其他文件后按合同约定付款。
4.PAYMENT 支付

5. Intellectual Property Right 知识产权
All the goods, documents and materials that the Seller gets to may concerns intellectual property right of the buyer may contains trade marks, copyright and business secret of the buyer. The seller shall keep secret and shall procure that its employee, agent and any other persons who may have access to the above-mentioned information keep confidentiality and shall not use it for any purpose at any time or disclose to any third party. The seller shall not sell, transfer any products or materials to any third party except for the buyer that concerns trade marks, other logo or marks, copyright and other intellectual property right of the buyer, even if for the out season products, substandard products, rest products and unused/waste products or materials. In case the seller breaches, the buyer has the right to ask for indemnification including but not limited investigation fees, lawyer’s fees，compensation as well as all other fees according to the stipulations or Chinese laws.
卖方接触到的买方的物品、文件资料均可能涉及买方及其关联公司的知识产权，尤其是可能包含的买方商标、著作权及商业秘密购销合同中英文模板合同范本。卖方应对其知悉的买方及其关联公司的商业秘密进行保密，并应促使卖方所有接触到买方秘密信息的任何雇员、代理人、客户或其他人士对该信息保密，不得在任何时候为任何目的使用或者向任何第三人披露。卖方不得向除买方及任何单位和个人销售、转让涉及买方及商标、标识标记、著作权等知识产权的产品或资料，即使对于过季品、等外品、富余品和废弃不用的产品或资料也不例外。若卖方违反约定，买方有权根据约定及中国法律规定要求卖方承担包括但不限于调查费、律师费、赔偿金在内的一切赔偿责任。
7. DISPUTE AND OTHER 争议解决及其他
Both parties will try to resolve any dispute concerning the contract amicably. If the dispute can not be resolved by negotiation, any party may initial legal action.
买卖双方在履行本合同时如有争议应先以友好协商方式解决,如协商不成买卖双方可将争议送交由提出诉讼方所在地之人民法院进行诉讼.
All appendixes to this contract should be bonded to the contract as a whole.
本合同所附带之所有附件及附带协议或合同将作为本合同不可分离之一部份.
The contract includes two originals signed by the authorized signatories from each party on the following date, each party shall retain one fully signed originals and each copy has equal legal effect.

第一条聘约期间

after expiration of this agreement, if the party a is willing to continue consigning, and paid continuing consulting fees to partyb in accordance with terms and conditions specified in article six of this contract, then the consigning period and effectiveness of this will automatically postpone one year, or enter into other agreement by both parties.
第二条服务内容

2.1作为法律顾问，乙方在聘期内，应甲方的要求和实际需要，及时向甲方提供下列服务，依法维护甲方的合法权益：

a) 法律咨询：解答法律疑问，提供法律建议，出具法律意见;
legal consult: answer legal questions, give legal suggestions, and give legal opinions.
b) 合同审查：起草审阅合同，提出修改意见，规范合同管理;
review contract: draft and review contract, give amending suggestions, standardize contract management.
c)参与决策：参与甲方决策，提供法律依据，防范法律风险;
participate decision: participate decision of party a, provide legal basis, and keep away legal risks.
d)专项服务：
劳动法律、法规、政策咨询;代理劳动争议案件处理。起草法律文件、合同、规章制度、协商方案、谈判提纲。全程代理、监理员工招聘、录用、退工。企业转制、改制、减员方案策划。转制企业员工整体解盘;季节性、临时性员工过度托管。履历调查、素质评测及机构设置方案制订。普通员工、管理人员、保密对象上岗培训及专业讲座。
special services:
providing advices on labor laws , regulations and policies ; serving as an agent to handle cases of labor disputes .drafting legal documents contracts , rules and regulations ,consultantive proposals and negotiative outlines.representing and managing the whole procedure of headhunting , recruitment and dismissal .planning proposals on transforming , reforming and outing down of an enterprise .entire undertaking of transformed employees ; transitional trusteeship of employees seasonally and temporarily .resume investigation, quality measurement , and making out plans for institutions reorganization .providing post trainings and specialized lectures for ordinary employees , managerial staff and some secret vips (very important persons).
g)其它约定. any other business agreed by both parties.
2.2 下列事务，甲方委托乙方办理的，须按规定向乙方另付律师费，付费标准为5000元每件：

a)甲方涉及诉讼或者仲裁委托乙方出庭代理的，包括一审起诉或应诉，二审上诉或应诉，再审申请或再审应诉，国内仲裁与国际仲裁，判决或裁决的申请执行，提起执行异议，申请国家赔偿等;
b) 甲方涉及劳动纠纷，委托乙方诉讼方式协调解决的，可免收服务费。

第三条服务方式
article three service method3.1 甲方获得或者乙方提供法律服务的方式或途径包括：

e)法律讲座;legal seminar;

i)代为交涉;represent to deal with;
j)其它方式。other methods.
第四条保密义务
article four confidentiality obligations
4.1任何一方在履行本合约过程中所获得的与另一方有关的任何信息、合同、资料、专业意见或其它商业秘密，非经授权或同意，不得以任何方式向第三方及双方各自无关人员传递泄露，否则，按本合约第七条承担违约责任;
except authorized or agreed on, neither party shall disclose to any third party or irrespective persons in either party anyinformation about other party, contract, document, professional suggestions or other business secrets gained during the execution of the agreements.
4.2 前项所列保密义务不因本合约的终止、解除、变更或废止而免除。

第五条责任担保

5.1甲方保证，其向乙方提供的文件、资料及事实真实、完整与全面，力免误导与失实;否则，甲方应自行承担相应的法律后果及经济损失。
5.2乙方保证，其向甲方提供的专业意见合法、准确，并保证所提供的专业服务符合律师行业一般公认业务准则与专业操守;否则，应就甲方所受到的损失承担赔偿责任。
第六条顾问费用

6.1 本合约期(壹年)的法律顾问费共人民币50,000元，甲方于本合约签订后3日内支付给乙方。乙方的收款账户为：

第七条违约责任

7.1 如乙方在本合约期内未依约向甲方提供本合约第二条所列的各项服务，或服务质量未达到行业一般公认的专业水准，甲方有权提前终止合约，有权要求乙方将已收之费用就已履行的期间作相应扣除后退还甲方;
if the party b does not provide the services specified in the article two of this agreement in the consignment period, or the service quality does not reach the well recognized professional level in the layer in the law service, the party a has right to terminate the agreement, and request party b to return party a the paid counseling payment with necessary deduction of the executed part.
7.2由于乙方或其指派的顾问在提供服务过程中的过错或失误，导致甲方利益遭受到损失的，由乙方或对乙方承保的保险机构依法承担相应的赔偿责任。

7.3甲方应按本合约规定的时间向乙方支付约定的顾问费，及时处理乙方已经发生的应由甲方承担的差旅费或其它费用，若甲方逾期30天仍未向乙方支付本合约第六条规定之顾问费的，乙方可暂停提供相关服务，并诉请甲方付清约定费用。若非因乙方的原因，甲方提前解除本合同，法律顾问费用仍应支付或不予退还。

第八条争议解决

8.1 本合约在履行过程中若发生争议，双方应友好协商妥善解决，若协商不成，提交上海仲裁委员会解决。

8.2 本合约及与本合约有关的争议，均适用中华人民共和国法律。

第九条合约生效
